Dubsea Jamboree Sponsorship Terms

These terms apply to sponsorships of any Dubsea Jamboree event sold by Dubsea LLC ("Dubsea," "we," "us," or "our") to a sponsor ("Sponsor," "you"). Dubsea Jamboree is held annually; "Event" means the edition your sponsorship covers. Sponsorships are charged through Dubsea's main payment account, using the card statement descriptor DUBSEA NETWORKS. Your proposal, invoice, or order (the "Sponsorship Package") lists what you receive. By signing, paying, or accepting a Sponsorship Package, you agree to these terms and to our Terms of Use, Billing and Payments Policy, Advertising Content Guidelines, and Privacy Policy.

The key points

Sponsorships are paid in full upfront and are non-refundable if you cancel or miss a deadline.
You're buying exposure and placements at and around the Event, not results.
If the Event is canceled and not rescheduled, we refund what you paid for anything not yet delivered.
Sponsored social posts are labeled as paid.

1. Packages and payment

The Sponsorship Package lists your deliverables, such as logo placement, signage, stage mentions, a booth, social posts, or tickets.
Payment in full is due upfront, in U.S. dollars, and invoices are due on receipt. Nothing is delivered until payment is received.
Payments are processed by Stripe; Dubsea never sees or stores your full card number.

2. Approval and content

Dubsea approves every Sponsor and all Sponsor materials before they're used.
Our Advertising Content Guidelines apply to sponsorships, including the categories we don't accept.
Political candidates, campaigns, and committees may sponsor only with Dubsea's written approval and must follow the political advertising rules in our Terms of Service.

3. Your materials and deadlines

Send logos, artwork, copy, and other materials by the deadlines in your Sponsorship Package. If materials arrive late or don't meet our guidelines, Dubsea may leave out or replace the affected deliverables, with no refund.

4. No guaranteed results

Attendance, impressions, reach, and audience figures are estimates. Dubsea doesn't guarantee attendance, sales, leads, or any other result.

5. Refunds and cancellations

You cancel or miss a deadline: no refund.
Event canceled by Dubsea and not rescheduled: we refund what you paid for deliverables not yet provided, within 30 days of the announcement.
Event postponed: your Sponsorship Package moves to the new date. If you can't take part, request a refund within 30 days of the announcement for deliverables not yet provided.
A deliverable Dubsea fails to provide for reasons not caused by you: we provide a comparable replacement or refund that deliverable's value, at your choice.
Weather, lineup or schedule changes, lower attendance than expected, or the Event ending early for safety or weather: no refund.

6. Disclosure

Sponsored posts on Dubsea channels are labeled as paid, as FTC rules and platform policies require, and you may not ask us to remove the labels.

7. Licenses and use of names

You grant Dubsea a worldwide, royalty-free license to use your name, logos, and materials to deliver your Sponsorship Package and to promote the Event.
You may describe yourself as a sponsor of that year's Dubsea Jamboree in your own marketing, as Dubsea's brand guidelines allow. Any other use of Dubsea names or logos needs our written permission.

8. Exclusivity

Sponsorships aren't exclusive unless your Sponsorship Package says so in writing.

9. On-site activations

Any booth, sampling, or activation at the Event follows our Dubsea Jamboree Vendor Terms, including the licenses, permits, and insurance rules. Food, drink, or alcohol sampling needs Dubsea's written approval and every permit or license the law requires.

10. Liability and indemnification

You agree to defend, indemnify, and hold harmless Dubsea and the venue from claims, losses, and expenses, including reasonable attorneys' fees, arising from your materials, products, activations, or breach of these terms.
TO THE FULLEST EXTENT THE LAW ALLOWS, DUBSEA'S TOTAL LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR SPONSORSHIP PACKAGE, AND DUBSEA ISN'T LIABLE FOR LOST PROFITS OR INDIRECT DAMAGES.

11. General

If your Sponsorship Package conflicts with these terms, the Sponsorship Package controls for that sponsorship. You and Dubsea are independent businesses. These terms are governed by Washington law. Before filing any claim, email info@dubsea.com and allow 30 days to resolve it informally. Any lawsuit must be brought in the state or federal courts in King County, Washington.
