Terms of Service

Last updated: October 12, 2026

Advertising, Promotions, and Partnerships

These Terms of Service apply to all advertising, promotion, sponsored content, and partnership services ("Advertising Services") you buy from Dubsea LLC ("Dubsea," "we," "us," or "our"). They apply whether you buy through dubsea.com, the Dubsea Portal, a custom proposal, an invoice, or a payment link. By checking the box at checkout, paying an invoice or payment link, or signing a proposal, you agree to these terms.

The key points

  • Payment is due in full upfront.
  • You're buying content creation and publishing. Dubsea does not guarantee reach, views, engagement, sales, or growth.
  • Send all materials and approve your content at least 7 days before your publish date, or your order closes without a refund.
  • You can reschedule once, with at least 7 days' notice.
  • Once your content is published, there are no refunds.

1. Definitions

  • "Client," "you," or "your": the person or business buying Advertising Services. If you buy for a business, you confirm you're authorized to bind it.
  • "Order": each purchase of Advertising Services, including any package, bundle, proposal, invoice, or payment link. The Dubsea Portal may call an Order a "ticket."
  • "Order Details": the package description, proposal, invoice, or written confirmation that describes an Order's deliverables, channels, price, and Publish Date.
  • "Client Materials": everything you provide, such as copy, logos, images, video, audio, links, product information, and claims.
  • "Sponsored Content": the posts, stories, videos, articles, features, banners, and other content Dubsea creates or publishes under an Order.
  • "Publish Date": the date agreed in writing, including in the Portal or by email, for Sponsored Content to go live.
  • "Dubsea Channels": dubsea.com and the social media pages, accounts, and other platforms Dubsea operates, including its sub-brands.

2. Who can buy

You must be at least 18 years old, or the age of majority where you live, and able to enter a binding contract. Dubsea serves businesses and individuals in the United States and abroad. We don't do business with anyone located in, or acting for, a country, region, or person subject to U.S. sanctions.

3. What you're buying

  • Dubsea creates and publishes advertising and sponsored content on Dubsea Channels, as described in your Order Details.
  • Services may include single posts, stories, reels and videos, carousels, multi-page bundles, website features and banners, sponsored articles, giveaway promotions, and custom campaigns.
  • Current packages and prices are listed on dubsea.com. Anything else is offered through a custom proposal.
  • Placement on specific Dubsea pages or sub-brands is available on request and must be included in your Order Details.
  • Packages, formats, and availability change over time. The Order Details in effect when you buy control your Order.

Creator collaborations: if your Order Details include work with independent creators or artists, Dubsea arranges and manages it as part of your Order. Content on a creator's own accounts is labeled as paid. The Live Period in Section 10 covers Dubsea Channels only, unless your Order Details say otherwise. Dubsea isn't responsible for anything creators publish outside your Order.

Dubsea Jamboree sponsorships are sold under the Dubsea Jamboree Sponsorship Terms and charged through Dubsea's main payment account, which uses the card statement descriptor DUBSEA NETWORKS.

4. No guaranteed results

Dubsea provides content creation and publishing only. We do not promise or guarantee any reach, impressions, views, likes, followers, comments, shares, clicks, website traffic, leads, sales, or growth. Any audience figures we share are approximate and change over time. Social media platforms control how content is distributed and shown. Results, or a lack of results, are never a reason for a refund.

Reporting: if your Order Details include reporting, Dubsea will share the metrics each platform makes available for your Sponsored Content, such as views or impressions. These metrics come from the platforms, may be incomplete, and don't change anything in this section.

5. Payment

  • Payment is due in full upfront. Work begins only after payment is received, and invoices are due on receipt.
  • Prices are in U.S. dollars. Applicable sales and other taxes are added at checkout or on your invoice. To claim a tax exemption, give us a valid exemption certificate before you pay.
  • Payments are processed securely by Stripe, a PCI Service Provider Level 1 payment processor, and Dubsea never sees or stores your full card number. The configured card statement descriptor is DUBSEA NETWORKS.
  • Recurring packages: a package sold as recurring (for example, monthly) renews automatically at the price and interval shown at checkout until you cancel. Cancel anytime before the next renewal date through the Dubsea Portal or by emailing info@dubsea.com. Canceling stops future charges; the current period isn't refunded. We'll notify you before any price change.

6. Submitting content for review

  • Anything can be submitted, but submitting doesn't mean it's accepted. Dubsea reviews each Order's content, story, topic, details, and goals before work begins. We may approve it, ask for changes, or decline it.
  • All Sponsored Content must follow our Advertising Content Guidelines, the rules of each platform it runs on, and the law.
  • Dubsea has final editorial control over what appears on Dubsea Channels.
  • If Dubsea declines your content and you can't provide acceptable content, Section 13 applies.

7. Creative collaboration

Dubsea and the Client collaborate on the creative. Who creates what, and how many revisions are included, depends on the project and scope in your Order Details. Additional revisions are at Dubsea's discretion. Dubsea may adjust content for format, length, style, platform rules, and legal compliance, and you'll approve the final version before it's published.

8. Deadlines and approval

  • You must provide all Client Materials and approve the final Sponsored Content at least 7 days before the Publish Date (the "Approval Deadline"), unless your Order Details state a different deadline.
  • If you miss the Approval Deadline, Dubsea may close your Order. A closed Order is complete, and the payment is forfeited and not refunded.
  • If no Publish Date has been set within 30 days after purchase because you haven't responded or provided needed information, Dubsea may close the Order on the same terms.
  • Dubsea may send reminders as a courtesy. Not receiving a reminder doesn't extend any deadline.
  • Changes you request after approval are at Dubsea's discretion. If a change needs a new Publish Date, it counts as your reschedule.

9. Rescheduling

You may reschedule an Order once, by written request at least 7 days before the scheduled Publish Date. The new date must be agreed in writing and is subject to availability, and the Approval Deadline then applies to the new date. An Order can't be rescheduled a second time. Rescheduling doesn't change the price or extend any other term.

10. Publishing and how long content stays up

  • Dubsea publishes Sponsored Content on the agreed Publish Date. The time of day is at Dubsea's discretion unless your Order Details say otherwise.
  • Sponsored Content stays live for at least 24 hours after publishing, unless your Order Details state a different period (the "Live Period").
  • After the Live Period, Dubsea doesn't guarantee that content will remain available. Dubsea may archive, hide, or remove it at any time, and platforms may remove or limit it. No refund is due if content comes down after the Live Period.
  • If Sponsored Content comes down during the Live Period for a reason not caused by you or your Client Materials, Dubsea will republish it for a new Live Period. If Dubsea can't republish it, you may request a refund under Section 13.
  • If content is removed because of your Client Materials, your claims, or a violation of these terms or platform rules, no refund is due.
  • On request, Dubsea will provide a link or screenshot showing that your content was published.

11. Disclosure of paid content

All Sponsored Content is labeled as paid, as FTC rules and platform policies require. Labels may include "Sponsored," "Ad," or "Paid partnership," or a platform's branded content tools. You may not ask Dubsea to remove or hide these labels. If a platform tool needs your approval, such as a paid partnership tag, you agree to approve it promptly.

12. Your responsibilities

You promise that:

  • You own or have licensed all Client Materials, including music, images, logos, trademarks, and the name, image, and likeness of anyone shown
  • Your claims about your business, products, services, prices, and offers are true and can be backed up
  • Your business, products, services, and Client Materials comply with all applicable laws, licenses, and regulations, and with our Advertising Content Guidelines
  • You'll tell us in writing whether your Order includes political advertising, issue advertising, or electioneering communications (see Section 15)
  • You'll respond to Dubsea's questions and requests in time to meet the Approval Deadline

13. Problems on Dubsea's side

This section applies if Dubsea declines your content and you can't provide acceptable content, or if Dubsea can't publish by the agreed Publish Date for reasons not caused by you. It also applies if Dubsea can't republish content removed during the Live Period (Section 10). In those cases you may choose either:

  • A refund of the amount paid for the affected deliverable, processed within 7 to 14 days to your original payment method (your bank may take additional time to post it), or
  • An extension or a new Publish Date

For bundles, refunds cover only the deliverables not provided. Request a refund or extension at info@dubsea.com with your order number.

14. Refunds and cancellations

  • Payments are final once Sponsored Content is published.
  • No refunds are given for missed deadlines, closed Orders, a change of mind, or results.
  • Orders can't be canceled for a refund after payment. If you need more time, use your one reschedule.
  • The only refunds are those described in Section 13. Our Refund and Cancellation Policy summarizes these rules.

15. Political and issue advertising

Political and issue ads are accepted only after Dubsea's review and written approval. If approved:

  • You must provide the sponsor's legal name, address, and federal employer identification number or other verifiable ID, and include every "paid for by" disclaimer the law requires.
  • Washington law requires Dubsea, as a commercial advertiser, to keep records of political advertising open for public inspection. The records include the sponsor's identity, a copy of the ad, its cost and payment details, the dates it ran, and, for digital ads, the audiences targeted and reached and total impressions.
  • You agree that Dubsea may keep and disclose this information as the law requires.

16. Giveaways and promotions

Giveaways must be free to enter, with no purchase necessary, and must follow the law and each platform's promotion rules. Unless your Order Details say otherwise, you're the sponsor: you provide the official rules and prizes, choose and notify winners, and handle any taxes. Dubsea doesn't collect entry fees. The official rules must state that the platforms don't sponsor or endorse the giveaway.

17. Ownership and licenses

  • You keep ownership of your Client Materials. You grant Dubsea a worldwide, royalty-free license to use, edit, and publish them to perform your Order, and to show the published work in Dubsea's portfolio and marketing.
  • Dubsea owns the Sponsored Content it creates, excluding your Client Materials, and owns all Dubsea Channels, accounts, and audiences.
  • After publishing, you may share or repost the published Sponsored Content on your own channels to promote your business, with credit to Dubsea. Any other use, such as editing it or running it as a paid ad, requires Dubsea's written permission.
  • Dubsea may keep published Sponsored Content on Dubsea Channels indefinitely, subject to Section 10.

18. No exclusivity

Dubsea may create content for, and run ads from, other clients, including your competitors.

19. Chargebacks

If you have a problem with a charge, contact us first at info@dubsea.com so we can fix it. If you dispute a charge for an Order that was delivered or closed under these terms, Dubsea will give your bank the Order records. These include your acceptance of these terms, your approvals, our messages, and proof of publishing. Dubsea may decline future Orders from clients who file disputes in bad faith.

20. Events outside our control

Dubsea isn't responsible for delays or failures caused by events outside its reasonable control. These include platform outages, algorithm or policy changes, account restrictions, internet failures, natural disasters, and government action. If such an event prevents publishing on the Publish Date, Dubsea will set a new date with you. If Dubsea can't publish within a reasonable time, Section 13 applies.

21. Disclaimers and limitation of liability

ADVERTISING SERVICES ARE PROVIDED "AS IS." TO THE FULLEST EXTENT THE LAW ALLOWS, DUBSEA DISCLAIMS ALL WARRANTIES NOT STATED IN THESE TERMS, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

DUBSEA WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES. DUBSEA'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.

22. Indemnification

You agree to defend, indemnify, and hold harmless Dubsea and its members, managers, employees, and contractors from claims, losses, and expenses, including reasonable attorneys' fees. This covers claims arising from your Client Materials, your products, services, claims, or giveaways, or your violation of these terms, the law, or anyone's rights.

23. Ending service

Dubsea may refuse any Order. Dubsea may suspend or end Advertising Services if you violate these terms, the Advertising Content Guidelines, or the law. If Dubsea ends an Order for that reason, no refund is due.

24. Governing law and disputes

These terms are governed by Washington law, without regard to conflict-of-law rules. Before filing any claim, email info@dubsea.com and give us 30 days to try to resolve it informally. Any lawsuit must be brought in the state or federal courts located in King County, Washington, and you consent to their jurisdiction. Either party may bring an eligible claim in small claims court.

25. Changes to these terms

We may update these terms. The version in effect when you place an Order applies to that Order.

26. General

These terms, your Order Details, the Advertising Content Guidelines, and the Refund and Cancellation Policy are the entire agreement for your Order. If they conflict, a signed written agreement controls first, then your Order Details, then these terms. Dubsea and you are independent contractors. If any part of these terms is unenforceable, the rest stays in effect, and our not enforcing a term isn't a waiver. You may not transfer an Order without our written consent. Notices to Dubsea go to info@dubsea.com; Dubsea may send notices to the email on your Order.
